We might also assist you in onboarding your business onto our products with implementation services, which are also governed by these same Terms.

5. Subscription and Payment
5.1 Subscription Plans:

5.2 Payment Terms:
Payment for the Service is due in advance and is non-refundable, except as expressly provided in these Terms. You agree to provide accurate and complete payment information and authorize us to charge your payment method for the subscription fees.
5.3 Auto-Renewal:
Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date. You can cancel your subscription at any time through your account settings.
6. Use of the Service
6.1 License:
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms.
6.2 Restrictions:
You agree not to:
1. Use the Service for any unlawful or unauthorized purpose.
2. Modify, copy, or create derivative works based on the Service.

4. Share your account credentials with unauthorized third parties.
7. Data Ownership and Privacy
7.1 Customer Data:

All intellectual property rights in the Service, including but not limited to software, trademarks, and content, are owned by or licensed to the Company. You may not use any of our intellectual property without our prior written consent, except as necessary to use the Service in accordance with these Terms.
10. Termination
10.1 Termination by You:
You may terminate your subscription at any time by cancelling your account through the Service and in such event, you will be entitled to prorated refund of any prepaid fees. Upon termination, you will lose access to the Service and any associated data. Hence, it is recommended to back up or transfer any data that you might want to retain before termination.
10.2 Termination by us:
We reserve the right to suspend or terminate your account and access to the Service at any time, in the event of any suspected illegal activity, extended periods of inactivity or requests by law enforcement or other government agencies.
In addition, we reserve the right to terminate your user account and deny the Services upon reasonable belief that you have violated the Agreement and to terminate your access to any Beta Service in case of unexpected technical issues or discontinuation of the Beta Service.
10.3 Effect of Termination:
Upon termination, all licenses granted under these Terms will immediately cease, and you must stop using the Service. Sections of these Terms that by their nature should survive termination will continue to apply.
11. Disclaimers and Limitation of Liability
11.1 No Warranty:
The Service is provided "as is" and "as available," without any warranties, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.
11.2 Limitation of Liability:
To the fullest extent permitted by law, in no event will the Company be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or use arising out of or related to your use of the Service
12. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, suppliers, vendors & partners from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of the Service or violation of these Terms.
13. Prohibited Conduct & Abuse Policy
We practice a strict zero-tolerance policy towards abusive, offensive, unlawful or objectionable content. By using our products, you agree to the following:
1. You will not use our products to send, distribute, or facilitate any abusive, harassing, harmful or unlawful messages.
2. Businesses using our products are expected to monitor and moderate their interactions with customers and may block users who engage in abusive behavior.
3. If we identify any business account violating these standards or facilitating such conduct, we reserve the right to suspend or terminate the account without notice.
4. We encourage users to report abuse through our support, so that we could investigate and take appropriate action within 24 hours.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. You agree that the courts of Chennai, Tamil Nadu shall have exclusive jurisdiction to settle any dispute or claim arising out of, or in relation to, these Terms of Use.
15. Miscellaneous
15.1 Entire Agreement:
These Terms constitute the entire agreement between you and the Company with respect to the Service and supersede any prior agreements or understandings.
15.2 Severability:
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver:
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
